This amazing Philadelphia route has 168 ATMs in retail and other high-traffic locations such as convenience stores, gas stations, grocery stores, and specialty markets. The Seller provides the physical ATM and is responsible (through a 3rd party) for all aspects of the ATM’s operations, including transaction processing, managing cash and cash delivery, supplies, and telecommunications, as well as routine and technical maintenance. Approximately 79% of the existing customer base is under seller friendly, auto-renewing multi-year contracts. Outdoor ATMs: The Seller’s loading contractor elected to cease servicing outdoor ATMs (the “Outdoor ATMs”) owned and operated by the Company based on perceived theft risk. In this regard, the Seller shut down ~ 90 outdoor ATM terminal locations that resulted in a substantial loss of revenue. All Outdoor ATM location agreements remain in place with many Outdoor ATM merchants expressing a desire to have the Outdoor ATMs re-cashed and returned to operation. Bolt On Acquisition: The natural buyer for the Company would be an ATM operator or ATM loader with an existing presence in and around the Philadelphia, PA area. The acquisition would allow the buyer to “bolt on” the ATM assets being sold by the Seller to the buyer’s existing ATM operations. In so doing, a Buyer can spread the costs of market management and other costs over a larger pie. A buyer would add little to no additional overhead to own and operate the routes being sold by the Company, making this of acquisition highly accretive. Low Customer Concentration: The Seller’s customer base consists of over 125 unique customers, which contributes to the Company’s low customer concentration. No single customer represents more than a 1% share of Company revenues.
